Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Thiering and Sons Construction, an Iowa business based in Muscatine, Iowa, which operates HardNumber (“HardNumber,” “we,” “us”). They cover your use of hardnumber.app, the HardNumber app, and the quote pages it creates (together, the “Service”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you are using HardNumber for a company, you agree for that company and confirm you have authority to do so.

1. The Service
HardNumber helps contractors build estimates from their own price book, add photos and good/better/best options, check margins, make PDFs, and send customers a quote link they can review, sign, and pay a deposit on. You must be at least 18 and use the Service for business purposes.
We are improving HardNumber constantly. Features described as “coming soon” are plans, not promises, and we may add, change, or remove features. If we remove a core paid feature you rely on, you may cancel and ask for a prorated refund of any prepaid period you haven’t used.
2. Accounts and teams
- Give accurate information, keep your password secret, and tell us right away at [email protected] if you think someone else has access to your account. You are responsible for activity under your account.
- The person who creates a company is its owner. The owner controls billing, company settings, and who is on the team, and can invite estimators and viewers. The owner is responsible for the people they invite and for removing access when someone leaves.
- Invite links work once and expire after 7 days. Don’t post them publicly.

- Billing. Paid plans are billed in advance through Stripe and renew automatically at the end of each monthly or annual period at the then-current price until you cancel. You authorize us (through Stripe) to charge your payment method for each renewal and for any users you add.
- Changes. You can switch plans, switch between monthly and annual, or change the number of users in Plan & billing → Manage billing. Stripe shows any prorated charge or credit before you confirm.
- Price changes. We’ll give you at least 30 days’ notice by email or in the app before a price change applies to your subscription. The new price starts at your next renewal after the notice period; you can cancel before then.
- Taxes. Prices don’t include taxes. Where we are required to collect sales or similar taxes, they will be added to your invoice.
- Failed payments. If a payment fails, Stripe will retry and we’ll let you know. If it still can’t be collected, your company may be moved to the Free plan. Your data stays; only paid features and limits change.
- Promotions. Promotion codes and trials apply only as stated when offered.
4. Cancellation and refunds
- Cancel any time in Plan & billing → Manage billing, or by emailing [email protected] from the owner’s email address. Cancellation takes effect at the end of the current paid period. You keep paid features until then, and your company then moves to the Free plan. We don’t delete your data when you cancel.
- First-purchase guarantee. If you’re not happy with your first paid HardNumber subscription, email [email protected] within 14 days of that first charge and we’ll refund it in full and move you to Free.
- Otherwise, no partial refunds. Outside that 14-day window, payments are non-refundable and we don’t refund unused time in a monthly or annual period, except where required by law or as stated in section 1.
- Removing users on Team takes effect as Stripe shows when you confirm the change (usually as a credit toward future invoices).
- Billing mistakes. If you think we charged you in error, email us within 60 days and we’ll make it right.
- Customer deposits are different. Deposits your customers pay go to your own Stripe account, not to HardNumber. Refunds of deposits are between you and your customer and are made from your Stripe account (see section 5).
5. Customer deposits (Stripe Connect)
- To accept deposits, the owner connects the company’s own Stripe account. Your use of Stripe is governed by the Stripe Connected Account Agreement and the Stripe Services Agreement, and you authorize us to create and manage the connection and to create payment pages on your account for your quotes.
- Deposits are charged directly on your Stripe account. You are the merchant: Stripe’s processing fees, refunds, chargebacks, and disputes are your responsibility, and payouts follow your Stripe settings. HardNumber never holds your customers’ money.
- HardNumber does not currently charge a fee on deposits. If that changes, we’ll tell you at least 30 days in advance.
- HardNumber is not a party to the agreement between you and your customer.
6. Your data
You own the information you and your team put into HardNumber, including your price book, jobs, photos, and customer information (“Your Data”). You give us permission to host, copy, process, transmit, and display Your Data only as needed to run, secure, and support the Service for you, including showing quote content to the customers you send it to. We don’t sell Your Data. You can export it any time with Company → Backup JSON. Keep your own backups of anything important; the Service syncs data but is not a substitute for your own records.
You are responsible for Your Data: that you have the right to enter it (including your customers’ personal information), that it is accurate, and that you give your customers any privacy notices the law requires.
7. Quotes, signatures, and your customers
- Your prices, your call. HardNumber’s scope parser, calculations, margin guardrail, and defaults are tools to help you. They are not professional, legal, tax, or engineering advice. Check every quote before you send it. You are responsible for your prices, quantities, tax rates, terms, and for performing the work.
- Legal requirements. You are responsible for complying with the laws that apply to your business, including contractor registration and licensing, consumer-protection and home-solicitation rules (for example, any required notice of the customer’s right to cancel a sale made at their home), lien-notice requirements, and sales tax. Put any required notices in your quote terms.
- Electronic signatures. When a customer accepts a quote link, HardNumber records the name they type, an optional drawn signature, the time, the chosen option, their IP address, and their browser details. We intend these records to satisfy the federal ESIGN Act and the Uniform Electronic Transactions Act as adopted in Iowa (Iowa Code chapter 554D), but you decide whether an electronic signature is appropriate for a given contract.
- Quote links are private but anyone who has the link can open it. Send them only to your customer.
8. Acceptable use
Don’t use the Service to break the law; send spam or deceptive quotes; upload anything you don’t have the right to share or that is malicious; try to access accounts or data that aren’t yours; probe, overload, or interfere with the Service or its security; get around plan limits or rate limits; or resell the Service without our written permission. We may remove content or limit accounts that violate these rules.
9. Third-party services
HardNumber relies on other companies, including Cloudflare (hosting and data storage) and Stripe (payments). Their services are subject to their own terms, and we aren’t responsible for their acts or outages, though we choose them carefully.
10. Suspension and termination
You may stop using the Service and ask us to delete your account at any time. We may suspend or end access if you seriously or repeatedly break these Terms, if you don’t pay, or if needed to protect the Service, our users, or the public. Where reasonable, we’ll give notice first and a chance to export Your Data. Sections 6–7 and 11–12 survive termination.
11. Disclaimers, limitation of liability, and indemnity
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON’T PROMISE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CALCULATIONS WILL BE FREE OF MISTAKES.
TO THE FULLEST EXTENT ALLOWED BY LAW, HARDNUMBER AND THIERING AND SONS CONSTRUCTION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, JOBS, OR DATA, EVEN IF WE WERE TOLD THEY WERE POSSIBLE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
You agree to defend and indemnify us against third-party claims arising from Your Data, your quotes and work, your dealings with your customers, or your violation of these Terms or the law.
12. Governing law, changes, and contact
These Terms are governed by the laws of the State of Iowa, without regard to conflict-of-law rules. Any dispute will be brought in the state courts located in Muscatine County, Iowa, or the United States District Court for the Southern District of Iowa, and you and we consent to those courts. Either of us may bring a qualifying claim in small claims court.
We may update these Terms. If a change is significant, we’ll notify account owners by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms. If any part of these Terms is unenforceable, the rest stays in effect. These Terms and the Privacy Policy are the entire agreement between us about the Service.
